Confirmation Statement Filing Birmingham | Vtrahe

The annual return was scrapped back in June 2016 and what replaced it is the Confirmation Statement, which every limited company and LLP has to send to Companies House once a year even if the company has not traded at all.

It covers the same ground the old return did. Companies House already holds a record of your directors, your registered office and email address, your shareholders, the people with significant control and your SIC codes, and the statement is you telling them that record is still right. We sit down with you and go through it, sort out anything that has changed, and then send the statement in. We can do all of that in Russian if that is easier for you.

What Changed From The Annual Return

The AR01 and LL AR01 forms went and the statement is form CS01 now. The bigger change is that you do not type all your company details out again each year, you look at what is on the register and only update the bits that have moved on, which for most small companies is nothing. PSC details became part of the filing when the statement came in, and since March 2024 you also have to give Companies House a registered email address. The fee is £34 if it goes in online and £62 if it goes in on paper.

What We Check Before Filing

We go down the company record one item at a time, so directors and secretaries, the registered office and the email address, the shareholders and how the share capital is split, the PSCs, and the SIC codes. It does not matter whether the company is trading or dormant, the statement is due either way. And if something did change during the year, say a director came on or shares were transferred or the office moved, we file that change on its own first, because otherwise the statement would just be confirming something that is wrong.

When It Is Due And What Late Filing Costs

The review period is 12 months, counted from when the company was incorporated or from the last statement you filed, and once that period ends you have 14 days to get the new one in.

If it is not filed in time the company and each of its directors have committed an offence and the fine on conviction can be up to £5,000.

Since October 2024 Companies House has also been able to hand out financial penalties itself without taking anyone to court, and a company that carries on ignoring the reminders ends up struck off the register, at which point whatever it owns goes to the Crown.

It all goes through the Companies House online service, which means it is accepted the same day and the confirmation email comes straight to you. The £34 Companies House fee is charged at cost on top of our fee, nothing added, and we send you a copy of what went in so you have it on file.
